James Goodfellow and Henry Johnson Appointed Co-Chief Executive Officers

Fiduciary Trust Company International, a leading wealth management firm and a wholly-owned subsidiary of Franklin Resources, Inc., today announced the appointment of James C. Goodfellow, vice chairman, and Henry P. Johnson, president, as co-chief executive officers of the firm. Goodfellow has also been appointed chairman of Fiduciary Trust, succeeding Anne M. Tatlock, current chairman and CEO.

Tatlock will retire as Fiduciary Trust's chairman and CEO on December 31, 2006, but she will remain on the Fiduciary Trust and Franklin Resources boards. Tatlock joined the Investment department of Fiduciary Trust in 1984, became president in 1994, chief executive officer in 1999, and chairman in 2000. Additionally, she is vice chairman and a member of the Office of the Chairman of Franklin Resources, Inc.

Gail E. Cohen, executive vice president and general trust counsel, was appointed to the Fiduciary Trust board of directors.

As vice chairman, Goodfellow, 61, is responsible for Fiduciary Trust's Individual and Trust Investment Management and Investor Services departments, as well as the firm's U.S. regional offices. Prior to joining Fiduciary Trust in 1994, he spent more than 20 years at J.P. Morgan & Co. where he was a managing director. He was named to Fiduciary's Board of Directors and appointed vice chairman in 2000. Today, in addition to the Board, he is a member of the Management, Investment Policy and Executive Committees.

As president, Johnson, 40, is responsible for the day-to-day operations of Fiduciary Trust, with particular responsibility for oversight of the Investment departments, Operations, Technology, Administration, and Human Resources as well as the firm's Strategic Advisory unit. He is a member of Fiduciary Trust's Board of Directors as well as the firm's Management, Investment Policy and Executive Committees. Johnson joined Fiduciary Trust in 1994 and held various business development positions before becoming head of business development in 1999. Following Fiduciary Trust's acquisition by Franklin Templeton Investments in 2001, he was named executive vice president and U.S. head of Franklin Templeton Institutional. In 2003, he returned to Fiduciary Trust as chief administrative officer, a role he held until being named president in December of 2005.

As executive vice president and general trust counsel, Cohen, 50, who also joined Fiduciary Trust in 1994, is responsible for the Trust Counsel, Tax Services, Trust Administration and Estate Administration departments at Fiduciary Trust.
